All website access, consultations, discovery calls, design assets, software code, and engineering deliverables provided by Solvicity are offered strictly on an "AS-IS" and "AS-AVAILABLE" basis at your sole discretion and risk. Solvicity under no circumstances provides monetary compensation, indemnity, damages, or refunds for any business losses, downtime, cyber events, or third-party disruptions.

1. Acceptance of Terms

By accessing, browsing, or using the Solvicity website (solvicity.online), booking or attending a discovery/consultation call, requesting a quotation, or commissioning any custom web design, software development, UI/UX design, or maintenance work, you agree to be unconditionally bound by these Terms & Conditions.

If you do not accept these Terms in full, you are prohibited from utilizing this website and from engaging Solvicity for any digital or consultative services.

2. Exploratory Calls, Estimates & Informal Advice

From time to time, Solvicity conducts introductory phone calls, video meetings, and written scoping chats with prospective or existing clients. You explicitly acknowledge and agree that:

  • Informational Nature: All verbal or written guidance, technical suggestions, architecture recommendations, marketing advice, cost projections, and delivery estimates shared during discovery calls are purely exploratory and non-binding.
  • No Guaranteed Outcomes: We do not guarantee specific sales figures, SEO rankings, search placements, conversion percentages, investor acquisitions, or revenue increases resulting from our discussions or deliverables.
  • Sole Risk: Any strategic, technical, or financial decision made by you or your business based on calls or messages with Solvicity is undertaken entirely at your own independent risk.

3. Services Scope, Deliverables & Client Acceptance

Every formal development project is executed based on mutually agreed specifications. Upon delivery of project milestones, preview links, staging builds, or source files:

  • Review Period: The client is solely responsible for comprehensively testing and validating all functionality, security, responsiveness, and content within the agreed review window.
  • Final Approval: Handover of source code, deployment to production, launch to live hosting, or formal sign-off constitutes definitive and irrevocable client acceptance.
  • Post-Delivery Maintenance: Solvicity is not liable for subsequent bugs, breaking changes in external third-party APIs (e.g., payment processors, database providers, AI endpoints), browser engine updates, hosting outages, domain expirations, or third-party package vulnerabilities occurring post-delivery unless covered under an active, separately billed maintenance agreement.

4. Absolute Zero Compensation Policy & No Refunds

NO MONETARY COMPENSATION OR REFUNDS:

Under no circumstances shall Solvicity, its founders, team members, contractors, or representatives be obligated to pay any monetary compensation, damages, penalties, restitution, or legal fees to any client, user, or third party. Payments made for completed milestone work, consultation hours, and initiated engineering cycles are strictly non-refundable.

In the maximum extent permitted by applicable law, Solvicity disclaims all financial liabilities of every kind and description.

5. Total Disclaimer of Warranties ("AS-IS")

ALL SERVICES, SOURCE CODE, SCRIPTS, GRAPHICS, MOCKUPS, ARCHITECTURAL DESIGNS, AND WEBSITE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability or fitness for a particular business purpose.
  • Warranties that software will operate error-free, uninterrupted, or immune from malicious exploits or server crashes.
  • Warranties regarding 100% uptime, compatibility with all past or future browser versions, or ongoing support for deprecated technologies.

6. Comprehensive Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOLVICITY OR ITS AFFILIATES BE LIABLE FOR ANY:

  • Direct, indirect, incidental, consequential, special, punitive, or exemplary damages.
  • Loss of revenue, sales, profits, contracts, customers, reputation, or goodwill.
  • Loss, corruption, unauthorized interception, or exposure of databases, user credentials, or business data.
  • Server downtime, ransomware, cyber attacks, third-party plugin deprecations, or payment gateway account freezes.

In any jurisdiction where limitations of liability are restricted, Solvicity's total aggregate liability across all claims shall be strictly capped at the lesser of $0 (Zero USD) or the exact net profit retained by Solvicity for the specific discrete task at issue.

7. Client Content, Licenses & Indemnification

The client is solely responsible for ensuring that all logos, imagery, copywriting, branding assets, databases, and third-party media supplied to Solvicity for inclusion in projects do not infringe upon any copyright, trademark, privacy right, or applicable law.

Client Indemnity: You agree to defend, indemnify, and hold harmless Solvicity, its owners, and personnel from any claims, damages, liabilities, regulatory sanctions, or legal fees arising out of your business operations, your website content, your failure to secure your live systems, or your breach of these Terms.

8. Portfolio & Intellectual Property

Until all milestone invoices are settled in full, all designs, source code, and assets produced remain the sole proprietary property of Solvicity. Solvicity retains the worldwide right to display project screenshots, live links, and case studies in our digital portfolio, marketing channels, and promotional materials.

9. Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to our services or website shall be subject to the exclusive jurisdiction of the competent courts in Karnataka, India, and the parties hereby waive any right to class action participation or jury trials.
